Notice of AGM and Scheme of Arrangement
This is to give notice that two seperate meetings of Members have been convened to take place on 17 May 2024.
The first meeting is the Institute’s Annual General Meeting (AGM) which as well conducting the routine business of the AGM, members will be asked to vote on two additional resolutions – one to approve some amendments to the Constitution which are necessary to facilitate the amalgamation with Chartered Accountants Ireland and one to approve the "scheme of arrangement" (by which the Amalgamation is being effected) and authorise the Council to take all such action as they consider neccesary or appropriate for carrying out the Scheme of Arrangement (details of which are set out in the scheme circular attached to this email).
The second meeting is a court ordered meeting to approve the Scheme of Arrangement (by which the Amalgamation is being effected) – full details are set out in the scheme circular attached to this notice.
Please be advised that Members who do not wish to or are not in a position to attend the meetings on 17 May, may vote by proxy. There are two separate proxy forms included with this notice and Members are strongly encouraged to complete and submit both, to facilitate the amalgamation and Scheme of Arrangement. Instructions on how to complete the proxy forms are set out in the relevant forms. The Yellow proxy form relates to the resolutions being proposed at the AGM and the Blue proxy form relates to matters being proposed at the Scheme Meeting.
