    This module looks at the tax implications of Family Company Reorginisatons.Learners will gain a knowledge of what is meant by corporate reconstructions from a tax perspective, and the typical reasons in practice for companies engaging in a reconstruction.

    The module provides an overview of the tax legislation and current Revenue practice in relation to reconstructions and how it applies in practice. Learners will also gain a high level understanding of the commercial considerations that arise in practice when deciding whether a reconstruction is appropriate for a company.

    Tom Murray is one of Ireland’s most experienced corporate recovery and turnaround practitioners with over 20 years’ experience in accounting & business roles, particularly in the area of equity and debt fund raising and the buying and selling of businesses.

    He also is an experienced Corporate Financier with particular interest and expertise in the area of equity and debt fund raising, and the buying and selling of businesses.

    He has extensive experience of all areas of Litigation Support and Expert witness. He has worked with private clients, SMEs, national companies, multi-nationals, county councils and various Government and Regulatory agencies in defending and bringing proceedings.

    This module examines the classification of Investment Property under FRS 102, providing an overview of how to account for investment property, including deferred tax implications and disclosure requirements for investment property, as well as how to account for transfers to and from investment property.

    The module will also look at Provisions and Contingencies, covering the disclosure requirements, circumstances in which a provision should be recognised in financial statements, initial and subsequent measurement of provisions, and requirements of FRS 102 in relation to contingent liabilities and contingent assets.
     

    About the Author:
     

    Alan Bailie (FCCA, LLB) has a Bachelor of Law degree, and subsequently qualified as a professional accountant in 2008 with the Association of Chartered Certified Accountants (ACCA). He is currently knowledge manager with CPA Ireland and has presented on Financial Reporting in accordance with UK and Irish GAAP to accountants in both practice and industry.

    Previously, Alan worked within the Professional Standards Department of CPA Ireland carrying out quality assurance monitoring visits of members in public practice to ensure maintenance of professional standards and compliance with the regulatory framework, including UK and Irish GAAP.

    Conor Carmody is a business leader and marketer with over 20 years’ experience in the start-up and development of companies in the retail and telecoms area. Conor was responsible for the development of the commercial strategy for the launch of Meteor Mobile Communications in 2001.

    Following the successful sale of that business, he developed and launched the eMobile brand for Eircom in 2010. Since 2013 Conor has been working with companies such as Oracle, Musgraves, Dublin BIC and Enterprise Ireland. He holds an MBA from the UCD Smurfit School of Business and was made a Fellow of the Marketing Institute of Ireland in 2009 in recognition of his contribution to the marketing industry.
